Terms of Service

These Terms of Service govern your use of the YuzuAgent website and our services. Please read them carefully before engaging with us.

1. Acceptance of Terms

By accessing or using the YuzuAgent website (yuzuagent.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

These terms apply to all visitors, clients, and others who access or use our website or services. YuzuAgent reserves the right to update these terms at any time. Continued use of our website or services after any changes constitutes your acceptance of the revised terms.

2. Description of Services

YuzuAgent provides AI-powered growth systems for service businesses, including but not limited to: website design and development, AI assistant configuration, marketing automation, lead qualification systems, and ongoing system management.

The specific scope, deliverables, timelines, and pricing for any engagement are defined in a separate project agreement or statement of work between YuzuAgent and the client. These Terms of Service apply in addition to any such agreements.

3. Client Responsibilities

Accurate information

You agree to provide accurate, complete, and up-to-date information when engaging our services. Inaccurate or incomplete information may affect the quality or deliverability of our work.

Timely feedback and approvals

You agree to provide feedback, approvals, and required materials within agreed timelines. Delays caused by client-side response times may affect project delivery schedules.

Authorized use

You agree to use our services and any deliverables only for lawful purposes and in compliance with applicable laws and regulations, including those related to marketing, data privacy, and consumer communications.

Third-party accounts and access

Where our services require access to your existing platforms (e.g., scheduling software, CRMs, ad accounts), you are responsible for maintaining the security of those accounts and providing us with appropriate access permissions.

4. Payment Terms

Payment terms, schedules, and amounts are specified in your project agreement. Unless otherwise agreed:

Project-based work

Typically requires a deposit (50%) before work begins, with the balance due upon completion or as milestone-based payments, as specified in the project agreement.

Retainer services

Billed monthly in advance. Payment is due at the start of each billing cycle.

Late payments

Invoices unpaid after 14 days of the due date may incur a late fee of 1.5% per month. YuzuAgent reserves the right to pause work on active projects until outstanding balances are settled.

Refunds

Deposits are non-refundable once work has commenced. If a project is cancelled by the client after work has begun, payment is due for all work completed to date.

5. Intellectual Property

Client ownership

Upon receipt of full payment, you own all final deliverables created specifically for your project, including website code, copy, and design assets.

YuzuAgent tools and frameworks

YuzuAgent retains ownership of any proprietary tools, frameworks, templates, or methodologies used in delivering services. These are licensed to you for use within your delivered project but may not be resold or distributed independently.

Portfolio rights

Unless you request otherwise in writing, YuzuAgent reserves the right to display your project in our portfolio and use it as a case study reference.

Third-party assets

Where third-party tools, fonts, stock images, or software are incorporated into your project, their respective licenses apply. You are responsible for maintaining any required licenses after project handoff.

6. Confidentiality

Both parties agree to keep confidential any proprietary, business-sensitive, or non-public information shared during the engagement. This obligation survives termination of the project.

YuzuAgent will not disclose client business information, pricing, data, or strategies to third parties without your consent, except as required by law or as necessary to deliver the agreed services (e.g., sharing access credentials with our technical team).

7. Limitation of Liability

YuzuAgent's services are provided on a best-effort basis. While we strive for exceptional quality, we cannot guarantee specific business outcomes, revenue increases, lead volumes, or conversion rates. Results vary based on factors outside our control, including market conditions, client responsiveness, and third-party platform performance.

To the maximum extent permitted by law, YuzuAgent's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the 3 months prior to the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages.

8. Third-Party Services

Our services may involve integration with or recommendations of third-party platforms, tools, or APIs (e.g., Acuity Scheduling, Mindbody, Google Ads, Meta Ads, Anthropic's Claude API). YuzuAgent is not responsible for the availability, performance, or terms of these third-party services.

Changes to third-party platforms or APIs that affect your delivered system may require additional work, which will be scoped and quoted separately.

9. Termination

By the client

You may terminate an ongoing retainer engagement with 30 days' written notice. Project-based agreements may be terminated as specified in your project agreement.

By YuzuAgent

We reserve the right to terminate our engagement if: (a) payment obligations are not met; (b) you violate these terms; (c) continued engagement would require us to act unlawfully or unethically. In such cases, payment is due for all work completed to the date of termination.

10. Website Use

You may use yuzuagent.com for your personal, non-commercial informational purposes. You may not:

• Reproduce, distribute, or republish any content from this website without written permission • Use automated tools to scrape, crawl, or extract data from this website • Attempt to gain unauthorized access to any part of this website or its underlying systems • Use this website in any way that could damage, disable, or impair its operation

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of British Columbia.
